How to Appoint a Registered Agent

As of July 1, 2004, all Massachusetts corporations are required to appoint a registered agent. If you have not already done so, you should do the following:

  1. Email the Massachusetts Secretary of State at corpcid@sec.state.ma.us to obtain a customer ID number and PIN number.
  2. Go to http://www.sec.state.ma.us/cor/ and click on "File Online" under "Most Requested."
  3. Enter your customer ID number and PIN number.
  4. Find, complete, and submit the form, "Statement of Appointment of Registered Agent."
  5. The registered agent can be anyone with a Massachusetts address including officers and/or directors of the corporation. The registered office should be the business address.
  6. Alternatively, you can access a copy of the enclosed form at: http://www.sec.state.ma.us/cor/corpdf/156d501.pdf (PDF file) and mail or fax it to the Secretary of State's office, but there will be a filing fee of $25. Filing electronically as described before is free.
